Governance and standards

A board seat is simply present.

May And Co holds shares in every country company. An audit right has to be invoked. A shareholding does not.

What the parent holds

Five standing positions.

  • A shareholding in each country company as the standing position.
  • Approval of every format and every site.
  • The retail price list.
  • The supplier network, and the approval and audit of every supplier in it.
  • Audit of every tier below.
The standards score

One number per unit, per quarter.

Built from the store audit, the mystery shop, the stock variance, the training certification status and the customer complaint record. Two consecutive quarters below the threshold opens a cure period, with support attached.

The score is not a report card filed and forgotten. It is the mechanism that decides whether a unit continues.

Brand and intellectual property

Protection is a condition, not a claim.

The May And Co mark is protected in classes 14 and 35 market by market ahead of entry, with Madrid Protocol designations following the roadmap.

Registration in a market is a condition of granting rights in that market.

Law and advice

Confirmed before, not after.

The form of agreement used in each market is confirmed with regulatory counsel before the first agreement is signed there.

May And Co does not hold, manage or invest funds on behalf of any third party, and no structure that would require it to do so is contemplated.

Governance is not paperwork. It is what lets a house grow without thinning.

Every rule on this page exists because a jewellery network that lacks it loses control at the second store.
